  1. These terms
    1. What these terms cover. These are the terms and conditions on which we supply our products and/or services to you. These terms also explain how we share information you provide with our partners to supply products and/or services.
    2. Why you should read them. Please read these terms carefully before proceeding to create, contribute to or order a printed copy of a Thankbox. These terms tell you who we are, how we will provide our products and services to you, how you and we may change or end the contract, what to do if there is a problem and other important information. If you think that there is a mistake in these terms, please contact us to discuss.
  2. Information about us and how to contact us
    1. Who we are. We are 17 Seas Limited, trading as Thankbox a company registered Scotland. Our company registration number is SC649034 and our registered office is at 5 South Charlotte Street, Edinburgh, Scotland EH2 4AN. Our registered VAT number is GB338247390.
    2. How to contact us. You can contact us by writing to us at [email protected].
    3. How we may contact you. If we have to contact you we will do so by writing to you at the email address you provided to us when you created or contributed to a Thankbox, or ordered a printed copy of one. Our print partner and its delivery carriers may also contact the person a printed copy is delivered to, using the phone number provided, about that delivery.
    4. "Writing" includes emails. When we use the words "writing" or "written" in these terms, this includes emails.
  3. Our contract with you
    1. These terms and conditions when you access any of the Thankbox services or products. When you access any of the services provided by Thankbox (including creating a Thankbox, uploading content to a Thankbox, making a financial contribution towards a Thankbox, purchasing a Thankbox pack from us, claiming a virtual gift card or other gift option, withdrawing collected funds as a Thankbox admin, creating an AI-assisted card design, ordering a printed copy of a Thankbox and/or managing a gifting wallet) these terms and conditions apply.
    2. Thankbox Account. Once you have created a Thankbox or a gifting wallet, or when you make a contribution towards a Thankbox, an account will automatically be created for you. If you are the creator of a Thankbox, we will send you an email with a link which allows access to the Thankbox so it can be managed and shared with other contributors. Your payment information will be required before the Thankbox can be sent. You must provide us with the email addresses of the recipient of the Thankbox. It is your responsibility to obtain the necessary permission to do this.
    3. If we cannot accept your order. If we are unable to accept your order or supply our products and services to you, we will inform you of this in writing and will not charge you or will refund you if a payment has already been made. This might be because the product is no longer available, because of unexpected limits on our resources which we could not reasonably plan for, because we have identified an error in the price or description of the product or because we are unable to meet another request you have specified.
    4. Your Thankbox. We will assign a link to your Thankbox which we send to you in our confirmation email. If you need to contact us at any time it will help us if you can tell provide the link so we can more easily identify you.
    5. Thankbox packs. You can purchase multiple Thankboxes in a Thankbox pack. Each pack will contain a set number of Premium Thankboxes. If the number of Thankboxes you wish to purchase in a pack is not available please contact us as other bespoke packages may be available on request. The pack will expire a stated amount of time, but no less than one year, after the pack is purchased or when all Thankboxes have been used up, whichever comes first. You can invite other individuals to share the pack and can also remove them. You can also purchase and manage more than one pack at a time. However, individuals invited to share a pack can only be linked to one pack at a time. A credit will be deducted from a Thankbox pack as soon as it is created, not when it is sent. If a Thankbox which forms part of a pack is deleted before being sent, this Thankbox will be re-credited to the pack.
    6. Partner Products. We work closely with selected partners to make certain products available for delivery through our website. To access these products, you will select the relevant product as part of the Thankbox order and the product will be provided directly to the recipient by the selected partner. Please note terms and conditions of the relevant partner will also apply to the purchase of any such products and these should be checked prior to purchase.
  4. Our products/service
    1. Products may vary slightly from their pictures. The images of the sample products on our website are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that a device's display of the colours accurately reflects the colour of the products the recipient will receive. Your product may vary slightly from those images. Please note, Thankbox provide third party products which are also covered by the terms and conditions of the relevant partner.
    2. Thankbox including contributed funds. Where you have contributed funds to a Thankbox we will need your email address so that we can send you a receipt. Contributions enable the recipient to claim a voucher, prepaid card or PayPal or Bank Transfer (Gift Option) supplied by our third party Gift Option supplier, Tremendous. Recipients have 365 days from receipt of a Thankbox to claim their Gift Option from Tremendous. If a Gift Option is not claimed within 365 days we reserve the right to donate the funds contributed to a Thankbox to a charity of our choice and no refund or compensation will be given. Alternatively, before a Thankbox is sent, a Thankbox admin may withdraw the collected funds for themselves instead of the recipient claiming a Gift Option — see clause 4.7. Gift Options and withdrawals taken as a PayPal or bank transfer payment may incur a fee, see clause 13.7.
    3. Thankbox Gift Option issued in a different currency. When you claim your Thankbox Gift Option you will be given the choice to select a currency different from the original collection. You will be provided an estimation of the Gift Option amount in that currency using our latest exchange rate. Exchange rates are updated daily. Your final Gift Option amount might be different from the one shown to you. This is because the exchange rate could have changed before your gift option was issued.
    4. Tremendous. Once a recipient has started the redemption process for a Gift Option with Tremendous, the terms and conditions of Tremendous (and their suppliers) will then apply and we have no further responsibility or obligations to you. You can find the Tremendous terms and conditions here. It is the responsibility of the recipient to ensure they have requested the correct Gift Option and that it fulfils their needs, as mistakes cannot be rectified later. Please note that not all Gift Options advertised by Tremendous may be available to you. Availability can be limited depending on the total contribution collected and your geographical location.
    5. Fundraiser Thankbox including donated funds. Where you have contributed funds to a fundraiser Thankbox organized by us we will need your email address so that we can send you a receipt. Contributions will be collected and donated to the charity we have chosen. Your entire Contribution, minus the transaction fee, will be transferred to the chosen charity upon completion of the fundraise. Details about the fundraise, including the chosen charity and their number, will be made available to you on our website.
    6. Gifting Wallets. Where you have created a gifting wallet through Thankbox, you can preload funds into the wallet to use to contribute to a Thankbox. You will be able to access your gifting wallet through your Thankbox account and see the current balance and transaction history. You are able to request a refund of any balance left in your gifting wallet by contacting us directly to request. Where there is inactivity with your gifting wallet for over 24 months, we will automatically arrange for a refund to you. Any refund will be managed in line with clauses 9.3 and 9.4 below.
    7. Withdrawal of collected funds by a Thankbox admin. Where a Thankbox has a gift collection, a Thankbox admin (the creator, or any co-admin the creator has added) may choose to withdraw the collected funds instead of the recipient claiming a Gift Option (a Withdrawal). A Withdrawal is available by PayPal or bank transfer only, is supplied through Tremendous in the same way as any other Gift Option, and is subject to any fee under clause 13.7 and to any minimum withdrawal amount. Availability, currency and the minimum amount depend on the country selected and the total collected, and clauses 4.3 and 4.4 apply to a Withdrawal as they do to any other Gift Option. In addition:
      1. A Withdrawal can only be made while the Thankbox has been paid for, has not yet been sent to the recipient, has a positive collection balance and has not already been claimed.
      2. A Withdrawal is final and cannot be reversed. Completing a Withdrawal closes the gift collection permanently. No further contributions can be made, the recipient will not receive a gift and will not be told that a collection took place, and no contribution can be refunded once the Withdrawal has been made. If you contribute to a Thankbox, you should be aware that an admin of that Thankbox may withdraw the collected funds in this way, and you should only contribute if you are content for them to do so.
      3. Bank account and PayPal account details are collected by Tremendous during redemption, not by us. We do not see or hold them.
      4. You are responsible for what you do with funds you withdraw, including passing them on to anyone else entitled to them, and for any tax or other liability arising from receiving them. We do not provide tax advice.
      5. We may decline or delay a Withdrawal, or refund the contributions instead of issuing it, where we suspect fraudulent activity or a breach of these terms. Clause 7.1 also applies.
    8. AI-assisted card designs. A Thankbox admin can use our AI design tool to create their own version of one of our card designs by submitting a short written description (a Prompt) of the change they would like. The Prompt and the existing card design are sent to a third party artificial intelligence provider, which generates a new version of the artwork (a Remixed Design). In addition:
      1. A Prompt is a Contribution and must meet the Content Standards in clause 5.4, including the additional standards that apply to AI-assisted designs.
      2. We and our AI providers apply automated checks to every Prompt and every Remixed Design. We may refuse to generate a design, or remove one that has been generated, at our sole discretion. Deliberately or repeatedly attempting to circumvent those checks is a material breach of these terms and clause 10 applies.
      3. We cannot promise a particular result. AI-generated artwork is produced automatically and may contain errors, distortions or unintended details, may not match your description, and is not unique — a similar design may be generated for someone else. The feature is provided on an "as is" basis and we give no warranty as to the quality, accuracy, originality or fitness for any particular purpose of a Remixed Design. It is your responsibility to check a Remixed Design before you send the Thankbox.
      4. Ownership. We (or our licensors) own the original card design, and all intellectual property rights in any Remixed Design created from it belong to us. You are granted a limited, non-exclusive, non-transferable licence to use a Remixed Design in the Thankbox for which it was created, including in any download or print of that Thankbox. You may not use, copy, sell, license, publish or register a Remixed Design as a standalone image, use it commercially outside Thankbox, or use it for any other purpose.
      5. Fair use. The feature is provided subject to fair use. Generating a design uses paid third party services, so the number of designs that can be generated is limited, and we reserve the right to set, change, restrict or remove those limits at any time — either for an individual user or Thankbox, or across the service as a whole. We may also suspend or withdraw the feature entirely. Doing so will not affect a Remixed Design that has already been created.
      6. We keep the Prompts you submit for a limited period so that you can continue refining a design and so that we can detect and prevent misuse. See our privacy policy for how long we keep them and who we share them with.
    9. Printed copies. A Thankbox admin can order a printed copy of a Thankbox at any time, including before it is sent, and the recipient can order one at any time after receiving it (a Printed Copy). A Printed Copy is supplied by us and printed and dispatched by our print partner. It is not a Partner Product, so clause 3.6 does not apply. The price, which includes delivery and any import duties, and the estimated delivery date are shown to you before you confirm your order. In addition:
      1. What is printed. A Printed Copy shows the Thankbox as it is when you order it. Messages added, changed or deleted afterwards will not appear in it. It includes every message in the Thankbox, including private messages, together with the names of contributors, the images they added and the card design. The layout is produced automatically. Videos, audio and other interactive media are printed as a still image or a QR code, and colours and image quality may differ from how the Thankbox appears on screen (see clause 4.1).
      2. QR codes. QR codes in a Printed Copy link to the online Thankbox and will stop working once it has been deleted (see clauses 7.3 and 7.4).
      3. Delivery details. You must give us an accurate delivery name, address and phone number. If they belong to someone else, it is your responsibility to obtain their permission to share them with us. We are not responsible for a Printed Copy that cannot be delivered because the details you gave us were wrong or incomplete.
      4. Delivery. Delivery dates are estimates. A Printed Copy may be printed in and dispatched from a country other than the one it is delivered to. It remains our responsibility until it is delivered to the address you gave us. If it has not been delivered within 30 days of your order, you may contact us to end the contract and we will refund you in full.
      5. Cancelling. A Printed Copy is made to your specification, so your right as a consumer to change your mind does not apply (see clause 8.3). Once your order has gone into production, which may happen soon after you place it, it cannot be cancelled or changed.
      6. Content. The Content Standards in clause 5.4 apply to everything in a Printed Copy. We or our print partner may refuse to print a Thankbox if we believe it breaches the Content Standards or the rights of any other person. If we refuse, we will refund you in full.
      7. Damaged, faulty or lost copies. If your Printed Copy arrives damaged or misprinted, please contact us with photographs of the problem. If it does not arrive, please contact us. We will replace it or refund you. This does not affect your legal rights (see clause 12).
      8. Use. A Printed Copy is for personal, non-commercial use. You may not reproduce or sell it. Clause 4.8(d) applies to any Remixed Design it contains.
  5. Your rights to add content or make changes
    1. You and the other contributors to the Thankbox can add content and make changes (in accordance with these terms) up until the Thankbox is sent. For more information on How it Works click here. A Thankbox admin or the recipient may order a Printed Copy of the Thankbox at any time, including before it is sent (see clause 4.9). A Printed Copy includes your Contribution, even if you marked it as private. A Printed Copy cannot be recalled, and deleting your Contribution will not remove it from a copy that has already been ordered.
    2. You may use our site only for lawful purposes. You may not use our site:
      • In any way that breaches any applicable local, national or international law or regulation.
      • In any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect.
      • For the purpose of harming or attempting to harm minors in any way.
      • To bully, insult, intimidate or humiliate any person.
      • To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards below.
      • To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).
      • To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
      You also agree:
      • Not to use, reproduce, duplicate, copy or re-sell any part of our site in contravention of the provisions of our website Terms of Use.
      • Not to access without authority, interfere with, damage or disrupt:
        • any part of our site;
        • any equipment or network on which our site is stored
        • any software used in the provision of our site; or
        • any equipment or network or software owned or used by any third party.
    3. Use of Thankbox replies for marketing.

      When a recipient responds to a Thankbox, they may be given the option to allow us to use and share their reply for promotional and marketing purposes, including on our website, social media channels, and in advertising materials.

      Where such permission is given:

      • We will take reasonable steps to remove or anonymise any personal data, including names and identifiable details, before using the content.
      • We will not use replies in a way that is misleading or harmful.

      Recipients can withdraw their consent at any time by contacting us at [email protected]. Upon receiving such a request, we will stop any future use of the content and, where reasonably possible, remove it from our active marketing materials.

    4. All content must comply with the following conditions:

      Content standards

      These content standards apply to any and all material which you contribute to a Thankbox (Contribution), and to any interactive services associated with it.

      The Content Standards must be complied with in spirit as well as to the letter. The standards apply to each part of any Contribution as well as to its whole.

      We will determine, in our sole discretion, whether a Contribution breaches the Content Standards.

      A Contribution must:

      • Comply with the law applicable in the United Kingdom and in any country from which it is posted or received.

      A Contribution must not:

      • Be defamatory of any person.
      • Be obscene, offensive, hateful or inflammatory.
      • Bully, insult, intimidate or humiliate.
      • Promote sexually explicit material.
      • Include child sexual abuse material.
      • Promote violence.
      • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
      • Infringe any copyright, database right or trade mark of any other person.
      • Be likely to deceive any person.
      • Breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
      • Promote any illegal content or activity.
      • Be in contempt of court.
      • Be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety.
      • Be likely to harass, upset, embarrass, alarm or annoy any other person.
      • Impersonate any person or misrepresent your identity or affiliation with any person.
      • Give the impression that the Contribution emanates from a third party, if this is not the case.
      • Advocate, promote, incite any party to commit, or assist any unlawful or criminal act such as (by way of example only) copyright infringement or computer misuse.
      • Contain a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism.
      • Contain any advertising or promote any third party services.

      Additional standards for AI-assisted designs

      These additional standards apply to any Prompt you submit to our AI design tool (see clause 4.8) and to any Remixed Design produced from it. They are stricter than the standards above, because a generated design is published on a card that colleagues, family and friends will see, and because our AI providers apply their own rules. They do not restrict photographs, images or other material that you upload yourself.

      A Prompt must not ask for, and a Remixed Design must not contain:

      • Anything sexual, suggestive or involving nudity, including innuendo assembled from individually innocent elements.
      • Any depiction of a baby, child or young person as a figure or character, in any style. Baby and childhood themed objects and motifs are permitted.
      • Any real, identifiable person, including public figures, celebrities and politicians.
      • Any copyrighted or trade marked character, mascot, or film, television or video game property, or an imitation of the signature style of a named living artist.
      • Any depiction of a person or animal as injured, hurt or in distress, including wounds, blood or broken bones, however small or stylised. Care and recovery motifs such as plasters, bandages and slings are permitted.
      • Violence, gore, weapons, hate symbols, illegal drugs, or political or religious campaigning.
      • Anything that degrades or humiliates a person or animal.
      • Any link, URL or file path, or any instruction intended to change how the AI behaves, override these standards or reveal how our systems work.

      A request made in a series of small steps, each of which appears harmless on its own, breaches these standards if the finished design would breach them.

  6. Our rights to make changes
    1. Minor changes to the products. We may change the product:
      1. to reflect changes in relevant laws and regulatory requirements; and
      2. to implement minor technical adjustments and improvements, for example to address a security threat. These changes will not affect your use of the product.
    2. More significant changes to the products and these terms. In addition, we may make changes to these terms or our products/services, but if we do so we will notify you and you may then contact us to end the contract before the changes take effect and you may receive a refund of any payments or contributions so long as the Thankbox has not been sent.
  7. Providing the Thankbox
    1. When we will provide the Thankbox. The Thankbox will be made available to the recipient as soon as you send it to them or at the time you have scheduled it to go out. It is the responsibility of the Thankbox creator to ensure the correct email address is used when the Thankbox is sent. We have the right to decline a request to issue a Gift Option if we suspect fraudulent activity and to refund all associated payments. Both the creator and recipient of the Thankbox will be contacted in this situation.
    2. When will you receive Partner Products. Any products provided by a partner through Thankbox will be made available in accordance with the standard terms and conditions of the relevant partner. Details of each partner can be found on our website, together with details of terms that will apply for each partner.
    3. Storage. We will store each completed Thankbox for a minimum of 6 months after it has been sent to a recipient after which time it may be deleted from our servers. Recipients can download and store the Thankbox at any time before this.
    4. Deletion requests. Both the creator and the recipient can request that a Thankbox be deleted for privacy, security or other reasons. Where a creator requests that a Thankbox is deleted, this will be at our sole discretion. Deleting a Thankbox does not affect a Printed Copy that has already been ordered.
    5. We are not responsible for delays outside our control. If the supply or use of the Thankbox is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund for any products you have paid for but not shared with the recipient.
    6. What will happen if you do not give required information to us. We need certain information from you so that we can allow access to the Thankbox by the recipient and process payments. We will contact you in writing if we need any additional information. If you do not give us this information within a reasonable time of us asking for it, or if you give us incomplete or incorrect information, we may either end the contract or make an additional charge of a reasonable sum to compensate us for any extra work that is required as a result. We will not be responsible for supplying the Thankbox late or not supplying any part of it if this is caused by you not giving us accurate information or the information we need within a reasonable time of us asking for it.
    7. Reasons we may suspend the supply of our products and/or services to you. We may have to suspend the supply of a product to:
      1. deal with technical problems or make minor technical changes;
      2. if we suspect fraud;
      3. update the product to reflect changes in relevant laws and regulatory requirements;
      4. make changes to the product as notified by us to you (see clause 6).
    8. Your rights if we suspend the supply of products. We will contact you in advance to tell you we will be suspending supply of a product or service, unless the problem is urgent or an emergency. If we have to suspend the product or service for longer than 60 days you may contact us to end the contract and we will refund any sums you have paid in advance for the product or service so long as it has not been shared with the recipient.
  8. Your rights to end the contract
    1. You can always end your contract with us. Your rights when you end the contract will depend on what you have bought, whether there is anything wrong with it, how we are performing and when you decide to end the contract:
      1. If what you have bought is faulty or misdescribed you may have a legal right to end the contract;
      2. If you want to end the contract because of something we have done or have told you we are going to do, see clause 8.2;
      3. If you have just changed your mind about the product, see clause 8.3. You may be able to get a refund, but this may be subject to deductions;
      4. In all other cases (if we are not at fault and you are not a consumer exercising your right to change your mind), see clause 8.5.
    2. Ending the contract because of something we have done or are going to do. If you are ending a contract for a reason set out at (a) to (e) below the contract will end immediately and we will refund you in full for any products which have not been provided and you may also be entitled to compensation. The reasons are:
      1. we have told you about an upcoming change to the product or these terms which you do not agree to (see clause 6.2);
      2. we have told you about an error in the price or description of the product you have ordered and you do not wish to proceed;
      3. there is a risk that supply of the product or service may be significantly delayed because of events outside our control;
      4. we have suspended supply of the products or service for technical reasons, or notify you we are going to suspend them for technical reasons, in each case for a period of more than 60 days; or
      5. you have a legal right to end the contract because of something we have done wrong.
    3. When consumers do not have a right to change their minds. Your right as a consumer to change your mind does not apply in respect of:
      1. digital products after you have sent them to the recipient;
      2. services, once these have been completed;
      3. a Withdrawal of collected funds, once the Withdrawal has been made (see clause 4.7), even if the Thankbox has not yet been sent;
      4. a Printed Copy, which is made to your specification (see clause 4.9).
    4. How long do consumers have to change their minds? You may change your mind at any time before you send the Thankbox to the recipient. See clause 8.5. Different rules apply to Thankbox packs. Please see 8.6 below. You cannot change your mind about a Withdrawal of collected funds once it has been made, even though the Thankbox has not been sent. Please see clause 4.7. You cannot change your mind about a Printed Copy once you have ordered it. Please see clause 4.9.
    5. Ending the contract where we are not at fault and there is no right to change your mind. Even if we are not at fault and you are not a consumer who has a right to change their mind (see clause 8.1), you can still end the contract before it is completed, but you may have to pay us compensation or incur a transaction fee. A contract for digital content is completed when the product is delivered, downloaded or streamed after payment. A contract for services is completed when we have finished providing the services and you have paid for them. In this case, the product is deemed delivered and our services completed when you send the Thankbox to the recipient. If you want to end a contract before it is completed, you can delete the unsent Thankbox at any time. The contract will end immediately and we will refund any sums paid by contributors but we may deduct from that refund a transaction fee and/or reasonable compensation for the net costs we will incur as a result of your ending the contract. This clause does not apply to a Printed Copy once it has gone into production (see clause 4.9).
    6. Cancellation of Thankbox packs. You may cancel your purchase of a Thankbox pack within 30 days of your purchase. Refunds will be provided less the cost of transaction fees and any Thankboxes delivered within those 30 days. After 30 days, you may still cancel your purchase but no refunds will be issued. If you are entitled to a refund, it will be issued to the same account from which the purchase was made. Please email us on [email protected] if you wish to cancel.
  9. How to end the contract with us
    1. Creator. Delete the unpaid Thankbox.
    2. Contributor. Delete your message.
    3. How we will refund you. If you are entitled to a refund under these terms we will refund your contribution or wallet top up, by the method you used for payment. However, we will deduct the transaction fee we paid for the contribution or wallet top up from the refund.
    4. When your refund will be made. We will make any undisputed refunds due to you as soon as possible and in any event within 14 days.
  10. Our right to end the contract:
    1. We can end the contract with you if you add content to a Thankbox which does not comply with our content standards above, see clause 5;
    2. We can end the contract with you if in our opinion you are involved in any fraudulent or other illegal activity;
    3. We can end the contract with you if you breach our website Terms of Use; and
    4. We can end the contract with you if you do not provide us with the information we need to perform our services.
  11. If there is a problem with the product
    1. How to tell us about problems. If you have any questions or complaints about the product, please contact us. You can write to us at [email protected]. Please note, where a product has been provided by a third party partner, we may need to refer any problem to the relevant partner for resolution.
  12. Your rights in respect of defective products if you are a consumer
    1. If you are a consumer we are under a legal duty to supply products that are in conformity with this contract. Nothing in these terms will affect your legal rights.
  13. Price and payment
    1. Where to find the price for the product. The price of the product (which includes VAT or other applicable tax) will be the price indicated on our website when you purchase a pack, create a Thankbox or any gift, or order a Printed Copy. Payment can be made through our third party payment provider (see clause 13.4) or can be made directly from contributed funds. We take all reasonable care to ensure that the price of the product advised to you is correct. However please see clause 13.3 for what happens if we discover an error in the price of the product you order.
    2. We will pass on changes in the rate of VAT (or other applicable tax). If the rate of VAT changes between your order date and the date we supply the product, we will adjust the rate of VAT that you pay, unless you have already paid for the product in full before the change in the rate of VAT takes effect.
    3. What happens if we got the price wrong. It is always possible that, despite our best efforts, that an incorrect priced may be shown. We will normally check prices before confirming your order so that, where the product's correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the product's correct price at your order date is higher than the price stated to you, we will contact you for your instructions before we accept your order. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract and refund you any sums you have paid.
    4. When you must pay and how you must pay. We use a third party payment provider (Stripe) to manage payments through our site. The payment method accepted through Stripe will depend on your location and browser and most common methods of payment will be accepted.
    5. Contributed funds. All contributions towards a Thankbox are subject to an upper limit of the chosen currency. Individual contributions are limited to 250 units of currency. For a classic Thankbox the total contribution may not exceed 400 units of currency and for a Premium Thankbox, 1000 units of currency. This limit might be different or not apply at all in special circumstances like fundraiser Thankboxes made by the company. If you change your mind and want a refund of your contribution, you should contact us to make a request and we will confirm if this can be done (on a case by case basis). Please note, refunds will not always be possible (for example once the Thankbox is sent to the recipient, no refunds can be made) and where we process any refund, it will incur a reasonable processing fee. If a Thankbox creator cancels or deletes a Thankbox before the gift collection has been claimed or withdrawn, all contributions made under that Thankbox will be automatically refunded. Where the collected funds have been withdrawn by a Thankbox admin under clause 4.7, no contribution can be refunded.
    6. Gifting Wallets. All payments made to the gifting wallets will be preloaded to your account within 3 working days of receipt of funds. Funds can be added in two ways as follows:
      1. through our third party payment provider, Stripe, which will incur an administration fee depending on the currency;
      2. by bank transfer following issue of an invoice. Where you wish to pay using this method, please contact us to confirm the amount to be paid and we will issue an invoice to the email address from the request. When paying any invoice, please ensure that the correct reference is used to enable us to promptly allocate funds to your gifting wallet.
    7. Fees on PayPal and bank transfer payments. Where funds are taken as a PayPal or bank transfer payment — whether claimed by a recipient as a Gift Option or withdrawn by a Thankbox admin under clause 4.7 — a fee may be deducted from the amount before the payment is issued, and a minimum amount may apply. Any such fee will be shown to you, together with the amount that will actually be issued, before you confirm. Other Gift Options may not incur a fee.
  14. Our responsibility for loss or damage suffered by you.
    1. We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill.
    2. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the products including the right to receive products which are: as described and match information in all material respects we provided to you and any sample or model seen or examined by you; of satisfactory quality; fit for any particular purpose made known to us; supplied with reasonable skill and care; and for defective products under the Consumer Protection Act 1987
    3. When we are liable for damage caused by defective digital content. If defective digital content which we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill we will either repair the damage or pay you compensation.
    4. We are not liable for business losses. We only supply the products for to you for domestic and private use.
  15. How we may use your personal information
    1. How we will use your personal information. We will only use your personal information as set out in our privacy policy.
  16. Other important terms
    1. We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract
    2. You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.
    3. Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.
    4. If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
    5. Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you miss a payment and we do not chase you but we continue to provide the products, we can still require you to make the payment at a later date.
    6. Which laws apply to this contract and where you may bring legal proceedings if you are a consumer. These terms are governed by English law and if you are based in England you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.
    7. Alternative dispute resolution if you are a consumer. Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. If you are a consumer and are not happy with how we have handled any complaint, you may want to contact the alternative dispute resolution provider we use. You can submit a complaint via their website at Online Dispute Resolution | European Commission (europa.eu). You will not be charged for making a complaint and if you are not satisfied with the outcome you can still bring legal proceedings.
